I. Acceptance Term

You can enter SPACEPLAN Limited (www.spaceplan.com.hk) with e-mail and telephone number provided or confirmed, or other ways permissible for SPACEPLAN Limited (www.spaceplan.com.hk) as log-in means.

 

2.2

You can set a nickname for your account without violating or being suspected violating the legal interest of others. If your nickname violates the legal interest of others, SPACEPLAN Limited (www.spaceplan.com.hk) has rights to stop providing service for you, and log out your account. After the account logged out, the relevant nickname is available for other users with rights to log in and use.

 

2.3

When completing the log-in or launch process, you shall accurately provide and update your information as the tips on relevant pages in accordance with the laws and regulations, in order to be true, timely, intact and accurate. If your information is suspected to be false, untruthful, outmoded or incomplete with reasonable causes, SPACEPLAN Limited (www.spaceplan.com.hk) has rights to send you the notice on inquiry and/or correction requirement, and directly delete the relevant information until suspending or stopping providing partial or full services of SPACEPLAN Limited (www.spaceplan.com.hk), meanwhile, SPACEPLAN Limited (www.spaceplan.com.hk) assumes no responsibility for this, and you shall assume all direct or indirect losses and unfavorable consequences caused as this.

 

III. Account security

You shall keep the member name and password for logging in SPACEPLAN Limited to yourself, and assume all activities under the login name, nickname and password (including but not limited to disclosing information, publishing information, clicking agree online or submitting various rules and agreements, renewing agreement or buying service online, etc.). You shall agree: (a) if there is anyone using your login name, nickname and password for SPACEPLAN Limited, or other conditions breaking the security stipulations, you shall inform SPACEPLAN Limited (www.spaceplan.com.hk) immediately, and accredit SPACEPLAN  Limited (www.spaceplan.com.hk) to synchronize the information to the website of SPACEPLAN Limited; and (b) make sure you log out the website in right steps after each time bucket for surfing the Internet. SPACEPLAN Limited (www.spaceplan.com.hk) cannot and won’t assume the losses or damages caused as you don’t follow the agreement. Except there is legal provision or judicial verdict with agreement of SPACEPLAN Limited (www.spaceplan.com.hk), your login name, nickname and password for SPACEPLAN Limited are not allowed to be transferred, gifted or inherited in any way (nor including the property rights and interests related to the account).

 

IV. Service termination

1. Service termination:

1.1

You shall agree that under the condition that SPACEPLAN Limited (www.spaceplan.com.hk) does not charge you, SPACEPLAN Limited (www.spaceplan.com.hk) has full power to terminate your “service” password, account (or any part of this) or the use of service voluntarily for any reason (including but not limit to that SPACEPLAN Limited (www.spaceplan.com.hk) considers that you have violated the literal significance and spirit of the agreement, or acted in ways against the literal significance and spirit of the agreement). You shall agree that under the condition that SPACEPLAN Limited (www.spaceplan.com.hk) charges you, SPACEPLAN Limited (www.spaceplan.com.hk) can implement the service termination based on reasonable doubt and via e-mail for notice. You shall further admit and agree that under the condition that SPACEPLAN Limited (www.spaceplan.com.hk) terminate your service according to the agreement, it is permissible to invalidate your account immediately, or log out your account and all relevant information and records in your account, and /or forbid you to further access to the records or “services”. After the account is terminated, SPACEPLAN Limited (www.spaceplan.com.hk) has no obligation to reserve any relevant information in the original account, or transmit any unread or unsent information to you or the third party. In addition, you shall agree that SPACEPLAN Limited (www.spaceplan.com.hk) will assume no responsibility to you or any third party as terminating to provide “service” for you.

 

1.2

You have rights to ask SPACEPLAN Limited (www.spaceplan.com.hk) to log out your account, with the agreement of SPACEPLAN Limited (www.spaceplan.com.hk), SPACEPLAN Limited (www.spaceplan.com.hk) will log out your account, then the contractual relation between you and SPACEPLAN Limited (www.spaceplan.com.hk) based on the agreement will be terminated. After your account is logged out, SPACEPLAN Limited (www.spaceplan.com.hk) has no obligation to reserve any relevant information in the original account, or transmit any unread or unsent information to you or the third party.

 

1.3

You shall understand and agree that after the contractual relation between you and SPACEPLAN Limited (www.spaceplan.com.hk) is terminated:

a) SPACEPLAN Limited (www.spaceplan.com.hk) has rights to save your information.

b) During service, if your actions break the law, or the agreement and /or rule, SPACEPLAN Limited (www.spaceplan.com.hk) can still advocates rights to you according to the agreement.

c) During service, if you use the service of other users, rather than the agreement is terminated, then other users have rights to advocate rights to you, and you shall continue to fulfil obligations as your commitment.

 

V. Logout of login name for SPACEPLAN Limited

 

1. If your account accords with the conditions following at one time, then your login name for SPACEPLAN Limited may be logged out: (1) the account of SPACEPLAN Limited not passing the Facebook identification; (2) not log in the website via your e-mail, account name or other ways authorized by the website and password for continuous six months; (3) no effective business undue.

 

2. You shall agree and authorize website of SPACEPLAN Limited, if you have cheated, published or sold inferior goods, violated others’ legal interests or seriously violated rule of SPACEPLAN Limited on the website, then the website has rights to disclose this within the scope of the website of SPACEPLAN Limited, your login name for SPACEPLAN Limited may be logged out, and you cannot log in the website of SPACEPLAN Limited any more, all website services will be terminated in the meantime.

VII. Platform service and status for SPACEPLAN Limited (www.spaceplan.com.hk)

 

1. With the platform service provided by SPACEPLAN Limited (www.spaceplan.com.hk), you can publish trade information, inquire goods and service information, reach trade intention and make deals, evaluate other members, participate in activities organized by SPACEPLAN Limited (www.spaceplan.com.hk) and use other information services and technical services.

 

2. Website of SPACEPLAN Limited (www.spaceplan.com.hk) just serves as a platform for users selecting trading objects, coordinating goods and service trade, and obtaining various services related to trade. Meanwhile, SPACEPLAN Limited (www.spaceplan.com.hk) does not refer to the legal relation and legal dispute among users caused as trading problems, won’t and cannot be involved in the trade of any party. Kindly note that SPACEPLAN Limited (www.spaceplan.com.hk) cannot control or guarantee the facticity, legality and accuracy of commerce information, with the quality, safety or legality of trading goods, as well as the ability for all trading parties fulfilling various obligations under trade agreement. SPACEPLAN Limited (www.spaceplan.com.hk) cannot and won’t control whether all trading parties can fulfil the obligations under the agreement. In addition, you shall note that the risk is objective existing for you trading with people acting in fraudulent means. SPACEPLAN Limited (www.spaceplan.com.hk) hopes you can be cautious and careful, and practice common sense when using website of SPACEPLAN Limited (www.spaceplan.com.hk).

 

VIII. Service use specification

 

1. Rule for your information

1.1

“Your information” includes all information you providing for SPACEPLAN Limited (www.spaceplan.com.hk) and other users during login, information publishing or trading in any occasion opening information or via e-mail such as information, text, software, music, sound, photo, picture, video and word, etc. You shall take full responsibility for “your information”, while SPACEPLAN Limited (www.spaceplan.com.hk) just serves as a passive channel for you issuing and publishing “your information”.

 

1.2

You shall agree and promise that “your information” and all “goods” (which refers all visible or invisible concrete objects which exists in various forms and can be traded according to law, or some right and interest, or some bill or security, or some service or behavior. “Goods” in the agreement contains all meanings above) provided on the website of SPACEPLAN Limited (www.spaceplan.com.hk) for trading shall:

a. Not include fraud element, and nothing to do with counterfeit or steal;

b. Not violate the right of any third party to possess the goods, or copyright, patent, trademark, business secret or other intellectual property, or privacy right and reputation;

c. Not violate any law, regulation, ordinance or stipulation (including but not limit to law, regulation, ordinance or stipulation related to export management standard, operation with license, quantitative trade quota, consumer protection, unfair competition or false advertising), the agreement and relevant rules;

d. Not contain libel (including business libel), intimidation or harassment elements;

e. Not contain obscenity, or any children pornography element;

f. Not including any virus damaging with intent, disturbing maliciously, capturing or invading any system, information or personal information secretly, pretend damage program, computer worm, timing program bomb or other computer programs;

g. Not directly or indirectly link to goods or services following, or contain description of goods or services following: (i) goods or services inhibited in the agreement; or (ii) goods or services you have no right to link or contain. In addition, you shall agree not to: (iii) use “service” in aspects related to any chain mail, massive e-mails sent at random, spamming or any copied or superfluous information; (iv) collect others’ e-mail address and other information via “services” without agreement of others; or (v) make false e-mail address via “service”, or attempt to mislead others in aspects of identity or information source of senders in other ways;

h. Not contain those inhibitive for SPACEPLAN Limited (www.spaceplan.com.hk), or unfit for be advertised or traded via website of SPACEPLAN Limited (www.spaceplan.com.hk).

13. You shall agree that you won’t use any information for business, including but not limit to copying any information shown on website of SPACEPLAN Limited (www.spaceplan.com.hk) and using for business without written approval of SPACEPLAN Limited (www.spaceplan.com.hk) in advance.

 

2. Rule for trade

2.1

Add entry of product description. Product description refers the text description, picture and /or photo shown on website of SPACEPLAN Limited (www.spaceplan.com.hk) and provided by yourself, which can be (a) the description of your products on sale; or (b) description of products you are looking for. You shall classify the descriptions of these products into correct entries. SPACEPLAN Limited (www.spaceplan.com.hk) does not take responsibility for the accuracy or content of product description.

 

2.2

Negotiation for trade. All trading parties negotiate with opposites based on the quotation and counteroffer clearly described on website of SPACEPLAN Limited (www.spaceplan.com.hk). Under the quotation and counteroffer accepted by all parties, the users of SPACEPLAN Limited (www.spaceplan.com.hk) involved have obligation to complete the trade. Except the particular cases following, for example, the users change the product description in essence, or clarify that there are words input by error after you propose the quotation, or you do not verify the identity of users involving in trading, the quotation and commitment cannot be withdrawn.

 

2.3

No trade manipulation. You shall agree not to manipulate the result of business negotiation with anther trading party while helping the partner attempting to deceive or cheat (subordinate clients or third party).

 

2.4

No trading system interference. You shall agree that you cannot intervene or attempt to intervene the normal operation of website of SPACEPLAN Limited (www.spaceplan.com.hk), or any trade on website of SPACEPLAN Limited (www.spaceplan.com.hk) via any device, software or routine program. You cannot load any huge load unreasonable or disproportional to network structure of SPACEPLAN Limited (www.spaceplan.com.hk).

 

2.5

Trading feedback. You cannot take any action that may damage the integrity of information feedback system, for example: leave a positive feedback for yourself via identity label of the second member or the third party; leave a negative feedback for other users via identity label of the second member or the third party (feedback information bombing); or leave a negative feedback while users don’t take some actions beyond trading scope (vicious feedback imposing).

Dispose of trade dispute

(i) SPACEPLAN Limited (www.spaceplan.com.hk) does not refer to the legal relation and legal dispute among users caused as trading problems, will not and cannot be involved in the trade of any party. If you have dispute with one or more users, or the service provider of the third party providing service for you via website of SPACEPLAN Limited (www.spaceplan.com.hk), then you will exempt the responsibility of various type and nature of (actual or crippling) claims for right, demands and damages caused as the dispute for SPACEPLAN Limited (www.spaceplan.com.hk) and agent and staff of SPACEPLAN Limited (www.spaceplan.com.hk), or related to the dispute in any aspect.

(ii) SPACEPLAN Limited (www.spaceplan.com.hk) has rights to accept and arbitrate the dispute between you and other user caused as trading problem, and judge whether other user’s complaint and (or) claim on you are tenable on one side, if SPACEPLAN Limited (www.spaceplan.com.hk) determines the claim is tenable, then you shall pay it with your own capital in time, or else, SPACEPLAN Limited (www.spaceplan.com.hk) has rights to make the payment with your cash deposit (if any) paid, or by deducting the relevant money of cost of part of products or services of SPACEPLAN Limited (www.spaceplan.com.hk) and related companies not fulfilled, or other capitals under your account of website of SPACEPLAN Limited (www.spaceplan.com.hk). SPACEPLAN Limited (www.spaceplan.com.hk) has no obligation to make the payment with own capital, but if the payment is done, you shall pay all losses of SPACEPLAN Limited (www.spaceplan.com.hk) in time, or else, SPACEPLAN Limited (www.spaceplan.com.hk) has rights to deduct relevant capital or rights in ways above, if you can still not make up the losses of SPACEPLAN Limited (www.spaceplan.com.hk), then SPACEPLAN Limited (www.spaceplan.com.hk) reserves the rights to continue to recover. As SPACEPLAN Limited (www.spaceplan.com.hk) is not a judicial organ, you shall completely understand and accept that SPACEPLAN Limited (www.spaceplan.com.hk) has limited evidence resolving ability and dispute disposing ability, the acceptance of trading dispute is completely based on your commission, SPACEPLAN Limited (www.spaceplan.com.hk) does not make sure the disposing result meets your expectation, and assume any responsibility for dispute disposing result.

(iii) SPACEPLAN Limited (www.spaceplan.com.hk) has rights to get the conditions from you via e-mail and other contact ways, meanwhile, inform the opposite the conditions gotten via e-mail, you has obligation to cooperate SPACEPLAN Limited (www.spaceplan.com.hk), or else, SPACEPLAN Limited (www.spaceplan.com.hk) has rights to make the result unfavorable for you.

 

3. Consequence of rule breaking.

 

3.1

If SPACEPLAN Limited (www.spaceplan.com.hk) considers that SPACEPLAN Limited (www.spaceplan.com.hk) may assume any legal or moral responsibility, or lose services of Internet service supplier or other suppliers (in whole or in part) as “your information”, then SPACEPLAN Limited (www.spaceplan.com.hk) has full power to dispose “your information” in ways necessary or appropriate for SPACEPLAN Limited (www.spaceplan.com.hk), including but not limit to deleting the information. You shall hereby guarantee that you have full rights of “your information” submitted to SPACEPLAN Limited (www.spaceplan.com.hk), including full copyrights. You shall affirm that SPACEPLAN Limited (www.spaceplan.com.hk) has no responsibility to affirm or determine which parts of your information submitted to SPACEPLAN Limited (www.spaceplan.com.hk) shall be protected, meanwhile, no responsibility for that other users enjoying “service” use “your information” .

 

3.2

For your behaviors suspected to break commitment and hurtful for any third party, you shall independently assume all legal responsibilities in your name, and make sure SPACEPLAN Limited (www.spaceplan.com.hk) is free of responsibility.

 

3.3

On condition not limiting other remedial measures, once any condition following occurs, SPACEPLAN Limited (www.spaceplan.com.hk) can give a warning immediately, suspend temporarily or permanently, or terminate your member qualification, delete all your product information, and any other information shown on website: (i) you violate the agreement; (ii) SPACEPLAN Limited (www.spaceplan.com.hk) cannot verify or identify any information submitted to SPACEPLAN Limited (www.spaceplan.com.hk) by you; or (iii) SPACEPLAN Limited (www.spaceplan.com.hk) believes under your behaviors, the users of SPACEPLAN Limited (www.spaceplan.com.hk), or the third service suppliers providing services via SPACEPLAN Limited (www.spaceplan.com.hk) or website of SPACEPLAN Limited (www.spaceplan.com.hk) will assume any legal responsibility. On condition not limiting any other remedial measures, if you take actions suspected to defraud on website of SPACEPLAN Limited (www.spaceplan.com.hk), SPACEPLAN Limited (www.spaceplan.com.hk) can suspend or terminate your account.

 

3.4

If the users’ behaviors breaking laws or the agreement affirmed by effective legal documents, or SPACEPLAN Limited (www.spaceplan.com.hk) voluntarily judges that users are suspected to break laws or the agreement, SPACEPLAN Limited (www.spaceplan.com.hk) has rights to publish users’ unlawful behaviors in form of website notice website of SPACEPLAN Limited (www.spaceplan.com.hk), and make the punishment (including but not limit to power restriction and service termination).

 

IX. Permission to use vested by you

You shall completely understand and accept to vest SPACEPLAN Limited (www.spaceplan.com.hk) and related companies the rights following irrevocably:

3. Similarly, when you send any commitment to related companies of SPACEPLAN Limited (www.spaceplan.com.hk), meanwhile, the related companies have confirmed that you violated the commitment, then SPACEPLAN Limited (www.spaceplan.com.hk) has rights to limit your account in ways appointed in your commitment immediately, including but not limit to suspending or terminating to provide services for you, and publishing your defaults confirmed by related companies. You shall understand and accept that SPACEPLAN Limited (www.spaceplan.com.hk) need not check the facts with you for the relevant definition, or obtain your agreement separately, meanwhile, SPACEPLAN Limited (www.spaceplan.com.hk) need assume no responsibility for the limitation measures or publishing actions.

 

X. Privacy.

Though with the permission to use in Article IX, Privacy protection is a basic principle of SPACEPLAN Limited (www.spaceplan.com.hk), then SPACEPLAN Limited (www.spaceplan.com.hk) shall use “your information” according to privacy statement of SPACEPLAN Limited (www.spaceplan.com.hk), the full terms on privacy statement of SPACEPLAN Limited (www.spaceplan.com.hk) is a part of the agreement, so you shall read carefully. Please note that once you disclose “your information” on trading site of SPACEPLAN Limited (www.spaceplan.com.hk) by your own volition, then the information may be obtained and used by others.

 

XI. Responsibility scope and limitation.

XII. Compensation

You shall accept that if the third parties or administrative and judicial organs file a claim or punishment (including judicial cost and other professional costs) with SPACEPLAN Limited (www.spaceplan.com.hk) and the subsidiary corporations, related companies, branch offices, directors, staffs and agents as you violate the agreement or other files brought in the agreement while mentioned hereby, or you break the laws and infringe the legal rights of the third parties, or you break the laws and must assume administrative or criminal responsibility, you must pay  SPACEPLAN Limited (www.spaceplan.com.hk) and the subsidiary corporations, related companies, branch offices, directors, staffs and agents in full in order to get rid from losses.

 

XIII. Link.

Unless otherwise expressly stated, all notices between you and SPACEPLAN Limited (www.spaceplan.com.hk) shall be sent in e-mail, (for SPACEPLAN Limited (www.spaceplan.com.hk)) e-mail address is chavez@hkdecoman.com, or (for you) send to the e-mail provided for SPACEPLAN Limited (www.spaceplan.com.hk) while logging in, or other addresses appointed by the party concerned. After e-mail is sent for twenty-four (24) hours, the notice shall be arrived, unless the sender is informed that the relevant mailing address is invalid. Or SPACEPLAN Limited (www.spaceplan.com.hk) can send the notice to the address provided for SPACEPLAN Limited (www.spaceplan.com.hk) while logging in via registered mail with postage prepaid and receipt required.

 

XV. Force majeure

If SPACEPLAN Limited (www.spaceplan.com.hk) delays to or cannot fulfil the agreement as causes beyond the rational control scope of SPACEPLAN Limited (www.spaceplan.com.hk) including but not limit to natural disaster, strike or disturbance, matter shortage or rationing, rebellion, act of war, act of government, communication or other facility fault or casualty, etc. SPACEPLAN Limited (www.spaceplan.com.hk) assumes no responsibility for you.

 

XVI. Application of law, jurisdiction and others

1. The efficacy, explanation, change, execution and dispute resolution of the agreement all apply to the laws in mainland of the People's Republic of China, if there is any without relevant legal regulations, then please refer to universal international business practice and (or) industry practice.

2. You and SPACEPLAN Limited (www.spaceplan.com.hk) are just in independent contractor relation. The agreement is not projected to form or establish any agency, partner, cooperation, employment or character authorizing and authorized relation.

3. You shall accept that SPACEPLAN Limited (www.spaceplan.com.hk) has rights to transfer the rights and obligations under the agreement in full or in part as business requirements without your agreement.

4. The disputes caused as or related to the agreement or service of SPACEPLAN Limited (www.spaceplan.com.hk), it is necessary to lodge a complaint in the people's court where SPACEPLAN Limited (www.spaceplan.com.hk) located in.

5. The agreement will replace the previous any written or verbal agreement signed between you and SPACEPLAN Limited (www.spaceplan.com.hk) for same items. If any article of the agreements is judged as invalid or not to be enforced, then the article shall be revoked, while other articles shall be followed and executed. The title of articles are just set for reference, and not used to define, limit, explain or describe the scope or limitation of the article in any way. SPACEPLAN Limited (www.spaceplan.com.hk) does not take action for some certain noncompliance of you or others, not indicating SPACEPLAN Limited (www.spaceplan.com.hk) withdraws the right to take actions for any follow-up or similar default.

All terms and condition in the Chinese version shall prevail. In the event of any dispute, the decision of SPACEPLAN limited is final.
